Terms of Service

These Terms of Service ("Terms") govern access to and use of OptimaClip (the "Service"), operated by Hypersmarty LLC ("Hypersmarty," "we," "us"). By creating an account or otherwise using the Service, you agree to these Terms.
1. The Service
OptimaClip is an AI-assisted tool for turning long-form video into short-form clips, including transcription-informed moment detection, caption styling, a clip editor, brand templates, team collaboration, and (where enabled) scheduling and publishing to connected third-party social platforms. Some features described on the marketing site or in documentation may be in active development and not yet fully available; we'll indicate this where applicable.
2. Accounts
You must provide accurate information when creating an account and are responsible for activity under your credentials. You must be legally able to enter a binding contract to use the Service. Team members you invite are subject to these Terms as well, and you are responsible for their conduct on your account.
3. Credits, Plans, and Billing
Free trial:creating an account starts a free trial — currently 30 credits, good for 7 days — with no payment method collected. Because we never have a payment method on file during the trial, nothing is ever charged automatically: if the trial's credits or its 7 days run out first, whichever happens sooner, the account simply stops being able to do further paid work until you choose a plan. You may choose and pay for a plan at any time, during or after the trial; doing so charges the plan's then-current monthly or annual price immediately and grants that plan's full monthly credit allowance right away, with no further trial period.
Paid subscriptions and automatic renewal:once you've chosen and paid for a plan, it is billed on a recurring monthly or annual basis and renews automatically at that cadence until you cancel. You can cancel at any time from your dashboard's Billing page to avoid the next renewal charge; cancelling does not refund the current billing period already paid for.
Paid plans are billed on a recurring monthly or annual basis through our payment processor (Stripe) and grant a fixed number of "credits" per billing period, as described on our Pricing page and in documentation. Additional credit packs may be purchased separately at any time, regardless of your current balance. Credits are consumed by certain actions (video analysis, clip generation, exporting, captions, and similar) and do not carry a cash value and cannot be exchanged for currency. Each grant of credits (a plan renewal, trial credits, or a credit pack purchase) expires 60 days after it is granted if unused; credits are consumed oldest-first so nothing expires early simply because you acquired more later. Once expired, unused credits are forfeited and cannot be reinstated.
No refunds: except where required by applicable law, all subscription charges, credit pack purchases, and consumed or expired credits are non-refundable (the free trial itself is never charged). This includes fees paid for a billing period in which you cancel partway through, and includes credits that expire unused. Cancelling a subscription stops future charges; it does not entitle you to a refund of any amount already charged.
You can upgrade, downgrade, or cancel a subscription at any time from your dashboard's Billing page. An upgrade — including switching from monthly to annual billing — is charged the prorated difference immediately. A downgrade, or switching from annual to monthly billing, takes effect at the start of your next billing period (your next monthly renewal, or your next annual renewal if you're on an annual plan) — you keep your current plan and price until then. For monthly subscriptions, cancellation takes effect at the end of the current monthly billing period. For annual subscriptions, cancellation takes effect at your next annual charge date — you retain access through the period you've already paid for, and no partial-year refund is issued.
4. Your Content
You retain ownership of video, audio, and other content you upload or submit to the Service — including any YouTube, Twitch, or Kick link you paste in ("Your Content"). You grant Hypersmarty a limited license to host, process, transcribe, analyze, and transform Your Content solely to provide the Service to you (for example, generating clips, captions, and metadata, and — where you enable it — publishing to platforms you've connected). We do not claim ownership of Your Content and do not use it to train third-party models beyond what's necessary to operate the Service.
You alone choose what to submit, and you alone are responsible for it. OptimaClip does not select, review, or endorse source videos or links before they're processed — every link or file is submitted by you. Each time you submit a video, link, or file, you represent and warrant that: (a) you own the content, or you hold all rights, licenses, and permissions needed to submit it to the Service, have it transcribed and clipped, and (where you choose to enable it) publish the resulting clips; and (b) doing so does not and will not infringe, misappropriate, or violate any third party's copyright, trademark, privacy, publicity, or other right, or any platform's terms of service. This representation applies regardless of whether the source is a file you upload or a link (YouTube, Twitch, Kick, or otherwise) you paste in — pasting a link to someone else's video does not make it yours to submit, and you're certifying that it is yours to submit, or that you're otherwise authorized to use it, each time you do so.
Indemnification:you agree to indemnify, defend, and hold harmless Hypersmarty LLC, its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to Your Content, your breach of the representations in this section, or your violation of any third party's rights in connection with content you submit to the Service.
5. Copyright / DMCA Policy
We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act. See our full DMCA / Copyright Policy for how to file a takedown notice or counter-notice, and our designated agent's contact information. Accounts subject to repeated valid infringement notices may be suspended or terminated.
6. Connected Social Accounts
If and when you connect a third-party social media account (YouTube, TikTok, Instagram, Facebook, X, Threads, or others) for scheduling or auto-posting, you authorize OptimaClip to publish content to that account on your behalf according to the settings you configure. You are responsible for complying with each platform's own terms of service. You can disconnect a platform at any time from your dashboard, which revokes that authorization going forward.
7. API Access
API keys are personal to your account and must not be shared or published. You're responsible for all activity performed with your API keys, including the same content-ownership representations in Section 4 applying to every video or link submitted through the API. We may rate-limit or suspend API access that we reasonably believe is abusive, and you can revoke a key at any time from the Developer page.
8. Acceptable Use
You may not use the Service to process or publish content that is unlawful, infringing, defamatory, fraudulent, or that violates a third party's rights; to submit a video or link you don't own and aren't authorized to use; to attempt to disrupt or reverse-engineer the Service; or to circumvent plan limits or credit metering.
9. Disclaimers and Limitation of Liability
The Service, including AI-generated clip picks, scores, captions, and metadata, is provided on an "as is" basis without warranties of any kind. AI-generated output can be inaccurate; you are responsible for reviewing clips before publishing them. To the maximum extent permitted by law, Hypersmarty LLC will not be liable for indirect, incidental, or consequential damages arising from use of the Service.
10. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate accounts that violate these Terms, including accounts subject to repeated valid copyright infringement notices under our DMCA / Copyright Policy.
11. Changes
We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date on this page.
